ELIGIBILITY: The Lay’s® x FIFA World Cup 2026™ X Conversation Card Sweepstakes (“Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of date of entry (nineteen [19] or older if a resident of Alabama or Nebraska) with a valid U.S. driver’s license or government-issued photo ID at the time of entry (each, an “Entrant”). The following persons are not eligible to enter or win the prize: employees, contractors, officers and directors of Frito-Lay, Inc. (“Sponsor”), Fédération Internationale de Football Association (“FIFA”), Realtime Media LLC (“Administrator”), and their respective parent companies, affiliates, subsidiaries, advertising, contest, fulfillment and marketing agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, the “Sweepstakes Parties”), and their immediate family members (spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and their respective spouses and/or “step” of each) and those living in the same household as such individuals (whether legally related or not who live in the same residence for at least three [3] months during the twelve-month period preceding the start date of the Sweepstakes). Void where prohibited by law. All federal, state, and local laws and regulations apply. By participating in the Sweepstakes, you unconditionally accept and agree to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules, administration of the Sweepstakes, selection of the winner, and Sponsor’s exercise of discretion, which will be final, non-appealable, and binding in all respects.
- TIMING: The Sweepstakes begins at 12:00 a.m. (midnight) Central Time (“CT”) on June 12, 2026 and ends at 11:59 p.m. CT on June 12, 2026 (the “Sweepstakes Period”). The designated computer clock of the Sponsor is the official time-keeping device in the Sweepstakes.
HOW TO ENTER: To enter the Sweepstakes, you must have a valid email address and public account on the X platform (formerly known as Twitter). If you do not have an X account, visit https://x.com and follow the instructions to register for a free X account. By submitting your information and creating an X Account, you will be required to agree to the X Corp.’s terms of service and privacy policy. If you do not agree to X’s terms of service and privacy notice, you cannot create an X Account or participate in this Sweepstakes.
Sign in to your X account. Sponsor will make a post on X, including copy with a call to action to participate in the Sweepstakes (the “Sponsor Post”). Participation requires that you follow the call to action by clicking on the Sponsor Post, clicking “Share”, allowing the interface to auto-populate an X post from your account, which includes @Lays, #LaysFWC26 and #entry (collectively, the “Post”), and click to publish the Post. Once you have done so, you will receive one (1) entry into the Sweepstakes, subject to the limit below (each an “Entry”). You may not alter the auto-populated Post copy. Your Post must include both hashtags and tagging @Lays to be valid. By publishing the Post as set forth above, you are confirming your acceptance of and agreement to these Official Rules.
To be eligible, your Entry must also comply with the X Terms of Service and X Rules available at https://x.com. Your X profile must be public and/or unprotected and viewable by the Sponsor and its Administrator and allow direct messages from anyone so that you may be contacted by Administrator if you are selected as a potential winner.
Entry submission must be manually key stroked and/or manually entered by the individual entrant; automated and/or repetitive electronic submission of Entries (including but not limited to Entries made using any script, macro, bot or promotional service) will be disqualified and transmissions from these or related social media accounts or IP addresses may be blocked. If it is discovered that an entrant used multiple social media accounts, for the purpose of obtaining more than the permitted number of Entries, such persons will be disqualified and all of their Entries shall be deemed invalid and any prize awarded to them shall be forfeited.
Incomplete, deceptive, or garbled Entries are not eligible. Sponsor is not responsible for misspellings, typographical errors, or other issues that may affect the ability to locate or record an Entry.
If entering with a mobile phone or other web-enabled device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply. Check with your wireless service provider for details on these and any other applicable charges. Entrants are solely responsible for any such wireless charges. Mobile entry is not required to submit an Entry or win a prize in this Promotion.
Further, Sponsor will disqualify any participants who have a prohibited word match (for example, obscenities) found in their @handle, display name, or Entry text, as determined by Sponsor in its sole discretion.
Any Entry that does not follow the above format and requirements (as determined by Sponsor in its sole and absolute discretion) may be discarded, will not be eligible for this Sweepstakes, and will not be a valid Entry. Any Entry that has altered or edited the auto-populated post will not be considered a valid Entry into the Sweepstakes. Sponsor reserves the right to waive entry requirements in its reasonable discretion.
All Entries are subject to verification at any time and for any reason. Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Sweepstakes; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Post submitted (or purportedly submitted) for the purposes of this Sweepstakes; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Sweepstakes in accordance with these Rules.
If you do not have Internet access via a personal computer, your local library or Internet café may be able to provide access to the Internet, and a number of Internet service providers and other companies offer free email accounts. Standard messaging and/or data rates apply to participants who submit an Entry via a wireless mobile device. Wireless service providers may charge for airtime for each standard message sent and received. Please call your service provider for pricing and service plan information and rates before mobile device participation.
LIMIT: Up to three (3) Entries per person or registered X account holder during the Sweepstakes Period. Attempts made by the same individual to earn more than the stated number of entries by using multiple or false contact information, social platform accounts, or otherwise may result in disqualification. Entries generated by artificial intelligence, script, computer programs, macro, programmed, robotic or other automated means are void and may be disqualified. Entries that are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late or misdirected, deceptive, or otherwise not in compliance with the Official Rules may be disqualified from the Sweepstakes at Sponsor’s sole and absolute discretion. Those who do not follow all instructions, provide the required information in their Post, or abide by these Official Rules or other instructions of Sponsor may be disqualified. Entries submitted by those who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void.
Individuals are not permitted to share an X account. In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the registered account holder of the X account that made such entry, provided that person is eligible. Any potential winner may be required to show proof of being the registered account holder. Registered account holder is defined as the person assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses. In the event that a dispute regarding the identity of the individual who submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.
The Sweepstakes Parties are not responsible for technical difficulties of any kind or for unavailability of any social platform or any service interruption.
- SWEEPSTAKES DRAWING: On or about June 15, 2026 the Sponsor will conduct a random drawing to select one (1) potential winner from among all eligible Entries received in accordance with these Official Rules.
- ODDS: Odds of winning the prize depend on the total number of eligible Entries received during the Sweepstakes Period.
- WINNER NOTIFICATION/PRIZE CLAIMING: The potential winner will be notified by direct message from the Sponsor’s account (@Lays) within three (3) days after the drawing. The Sweepstakes Parties are not responsible for and shall not be liable for incorrect, changed, or illegible contact information or for electronic communications that are undeliverable as a result of any form of active or passive filtering, or insufficient space in an entrant’s account to receive messages. Sweepstakes Parties are not responsible for late, lost, intercepted, misdirected, or unsuccessful efforts to notify the potential winner. Notification is deemed to have occurred immediately upon sending the direct message. As part of the winner notification process, the potential winner will be required to sign and return a Declaration of Eligibility/Liability Release, and, where lawful, a Publicity Release (“Declaration”) and a completed and signed Federal Form W-9 within seventy-two (72) hours of Sponsor’s time stamp of notification, as a condition of receiving the prize. If the potential winner cannot be contacted within a reasonable time period or any notification is returned as undeliverable, if a potential winner fails or refuses to sign and return the Declaration within the required time period, and/or if the potential winner is deemed ineligible or noncompliant, the potential winner will forfeit the prize and be disqualified, and an alternate winner will be selected from among all remaining eligible entries received, time permitting, up to three (3) alternates, after which the prize will remain un-awarded. The potential winner becomes the “winner” only after verification of eligibility by Sponsor.
No more than one (1) prize will be awarded. If, for any reason, more bona fide winners come forward seeking to claim the prize, the winner may be selected in a random drawing from among all persons making purportedly valid claims. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.
- PRIZE/PRIZE RESTRICTIONS: The prize to be awarded in this Sweepstakes is:
One (1) Prize: The prize is a three (3) day/two (2) night trip for two (2) people –winner and one (1) guest – to attend the FIFA World Cup 26™ Tournament Semi Final Match 102 played in Atlanta, Georgia on July 15, 2026. Prize includes round-trip coach-class air transportation from a major commercial airport near winner’s residence (as determined by Sponsor) to Atlanta, GA for the winner and one (1) guest, two (2) nights hotel standard accommodation (single room, double occupancy), and six hundred and 00/100 dollars ($600.00 USD) made payable to the winner in the form of a check for meals and other travel incidentals. The approximate retail value of the prize is $9,405.
The actual value of the prize may vary depending on point of departure and fluctuations in the cost of air transportation. Any difference between the estimated ARV and the actual value of the prize will not be awarded.
Travel must be taken on dates specified by Sponsor, and is anticipated to be July 14 – 16, 2026. Winner and guest must travel on the same itinerary. If the winner resides within a 150-mile radius of Atlanta, GA, as determined by Sponsor in its sole discretion, ground transportation may be provided in lieu of air transportation, and no compensation will be provided for any difference in prize value. The winner and guest are responsible for having a valid Real ID or valid passport as required for air travel. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel routes, select the hotel, and all other aspects of the prize in their sole and absolute discretion. The winner is responsible for all travel expenses not included herein, including airline baggage fees, gratuities, meals, and any other incidental costs or expenses related to participation in the prize.
In the event the winner elects to take part in the prize with no guest, no additional compensation will be awarded in lieu of the unused prize components. The selected guest must be eighteen (18) years of age and the age of majority in their state of residence (at least nineteen (19) in Alabama and Nebraska) or older as of the date of departure, or winner must be parent or guardian of the guest. Once a guest is selected, he/she may not be substituted, except in Sponsor’s sole and absolute discretion. The guest must sign and return a travel liability release before travel will be booked. The winner and guest hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the prize. No changes will be made to travel details once any element of the travel arrangements have been booked, except at Sponsor’s sole discretion. The winner will be required to provide a major credit card upon hotel check-in, and all in-room charges will be charged to the credit card. Any damage to the room will be the responsibility of the winner. Sponsor bears no responsibility if any event, element, or detail of the prize is canceled, postponed, or becomes unavailable for any reason whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Sponsor is not liable for any missed prize events, or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. Should any event, element, or detail of the prize become unavailable, the Sponsor shall have no obligation to the winner aside from providing the remaining portion of the prize, minus any unavailable event, element, or detail. Sponsor is not responsible if any event is delayed, postponed, or canceled for any reason.
Winner and guest irrevocably waive all claims against the Sweepstakes Parties, and agree that they will have no liability or responsibility for any claim arising in connection with participation in this Sweepstakes, the prize awarded, personal injury, or wrongful death, a potentially heightened risk of exposure to communicable diseases, viruses, bacteria or illnesses (including, without limitation, COVID-19) and the causes thereof, and sickness arising as a result of entrant’s participating in the Sweepstakes and related activities (e.g., travel), wherever, whenever or however the same may occur. Winner and guest must abide by all applicable federal, state, local and venue COVID-19 guidelines while traveling and in attendance at the prize event. Winner and guest fully understand that (a) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including any protocols that will be implemented from time to time by the Sweepstakes Parties (collectively, the “Protocols”), can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition. Winner and guest will accept the prize and travel at their own risk.
If Sponsor so elects in its sole discretion, potential winner and their guest may be required to submit to a confidential background check to ensure that (a) they will not bring the Sponsor into public disrepute, contempt, scandal, or ridicule or reflect unfavorably on the Sponsor, and (b) they will adhere to any and all Protocols. Sponsor reserves the right, in its sole discretion, to disqualify potential Sweepstakes Winner based on the results of the background check. If requested, potential winner must sign waiver forms authorizing the release of personal and background information or prize may be forfeited.
Tickets awarded are for use by winner and one (1) guest only. All seat locations are determined by Sponsor in its sole discretion. Tickets are subject to all ticket terms and conditions, as well as all venue and FIFA procedures, policies, protocols and mitigation measures, including, without limitation, security and guest conduct, health and safety, and applicable bag policies, and ticket holders must comply and abide by all such terms, conditions, procedures, policies, protocols and mitigation measures. Sponsor is not responsible if any match is delayed, postponed, or canceled for any reason. Winner will not receive compensation from Sponsor for tickets that the winner is unable to use due to cancellation of a match, but tickets may be subject to standard rain-check policies and procedures set by the issuer. The winner agrees that match admission is awarded pursuant to a revocable, nontransferable license that is personal to that applicable winner, and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed. Sponsor reserves the right to remove or to deny entry to any winner and/or guest if either winner or guest violates the previous restrictions or engages in a disruptive manner, or with intent to abuse, threaten or harass any other person at the match. The winner and guest must attend the match on the date and time specified by the Sponsor.
Prize is non-transferable, with no cash redemptions, equivalents, or substitutions except at Sponsor’s sole and absolute discretion. All prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Prize details and availability are subject to change and are subject applicable rules and restrictions. In the event that Sponsor is unable to provide a prize component, the Sponsor may elect to provide winner with an alternate prize of comparable or greater value in its sole discretion. Prize is awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). The winner will be solely responsible for all federal, state, and/or local taxes, and for any other fees or costs associated with the prize received. The actual value of the prize will be reported for tax purposes as required by law. The winner will be required to provide Sponsor with a valid social security number before the prize will be awarded for tax reporting purposes. An IRS Form 1099 will be issued in the name of the winner for the actual value of the prize received. Any unclaimed prize will be forfeited. Prize, if legitimately claimed, will be awarded. The Sweepstakes Parties are not responsible for and will not replace any lost, mutilated, or stolen prize or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address. If the winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and the Sweepstakes Parties will have no further obligation with respect to that prize or portion of the prize. The Sweepstakes Parties are not responsible for, and winner will not receive the difference, if any, between the actual value of the prize(s) at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or material. Sponsor’s designee will contact the winner upon verification to arrange travel booking and will transfer all applicable tickets to the verified winner via email. Winner is solely responsible for checking their email, spam/junk folders, etc. for the email containing the tickets and abiding by the ticket platform’s terms and conditions. Sponsor is not responsible for lost/undeliverable tickets or tickets that do not reach the winner due to insufficient space in the winner’s email or any active or passive filtering.
- GENERAL: Subject to applicable law, the winner hereby expressly grants to the Sweepstakes Parties and their respective successors, assigns, sublicensees and designees, the irrevocable right to use and publish his/her name, social handles, likeness (photographic or simulated), voice, biography and place of residence for all purposes, including, without limitation, advertising, marketing, promotional and publicity purposes in connection with this Sweepstakes (“Advertising”), in any and all media now or hereafter devised, worldwide, in perpetuity, without any form of notice, permission or any amount or kind of compensation, except for the awarding of the prize to the winner. All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and the winner hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and the winner hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of winner’s name, likeness or voice under contract, tort or any other theory of law. The Sweepstakes Parties do not assume any responsibility for any disruption in the Sweepstakes, including, but not limited to, the failure or interruption of any social media platform or any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Sweepstakes materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or prize. Sponsor additionally reserves the right, in its sole and absolute discretion to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes.
- FWC26 TERMS AND CONDITIONS: Winner and their guest (“Attendees”) agree to comply with the FIFA Ticket Terms of Use (“Terms of Use”) applicable to their prize ticket(s) for the FIFA World Cup 26™. The Terms of Use, along with any other ticket terms and conditions, are available (or will be made available) on FIFA.com/tickets. Tickets are intended solely for use by the Attendees and may not be provided to any other person, including through resale, exchange, or barter. Any such resale, exchange, barter, or other commercial or promotional use may result in disqualification, prize forfeiture, and invalidation of the license granted for the tickets.
All FIFA World Cup 26™ venue restrictions and rules governing stadium safety, security and conduct also apply, including those set out in the FIFA World Cup 26™ Stadium Code of Conduct (“Stadium Code of Conduct”), available on FIFA.com/tickets. Attendees are expected to respect other guests and event staff and must refrain from using foul or offensive language, obscene gestures, or engaging in unruly, disruptive, threatening, or violent behavior.
The Stadium Code of Conduct, the Terms of Use and all other applicable terms and conditions available on fifa.com/tickets are deemed to be incorporated into these Terms and Conditions. FIFA and/or its affiliates reserve the right to cancel any ticket(s) if FIFA determines an Attendee has failed to comply with the Terms of Use, the Stadium Code of Conduct, or any other applicable terms and conditions.
CONDUCT: The Sweepstakes Parties are not responsible for the actions of entrants in connection with the Sweepstakes, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. The Sweepstakes Parties reserve the right, at their sole discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in any manner deemed by the Sweepstakes Parties to be in violation of the Official Rules, or to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person, or to be tampering with the entry process or the operation of the Sweepstakes, and void all associated entries and/or registrations. CAUTION: ANY ATTEMPT BY A USER, YOU OR ANY OTHER INDIVIDUAL TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SWEEPSTAKES PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
WAIVERS AND DISCLAIMERS: The Sweepstakes Parties assume no responsibility or liability for: (a) lost, late, stolen, undelivered, inaccurate, incomplete, delayed, misdirected, damaged or garbled entries, URLs, or emails; (b) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of entries or registrations at any point in the operation of this Sweepstakes; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, cable, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (e) inaccessibility or unavailability of the Internet or X, or any combination thereof or for computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, social networking posts, or registrations, the announcement of the prizes, or in any other Sweepstakes-related materials; or (f) any injury or damage to entrants or to any other person's computer which may be related to or resulting from any attempt to participate in the Sweepstakes. - RELEASES: All entrants, as a condition of participation in this Sweepstakes, (a) release, discharge, indemnify and hold harmless the Sweepstakes Parties, FIFA, X Corp., and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Sweepstakes (including travel to/from any Sweepstakes activity), (ii) the receipt, ownership, use or misuse of the prize awarded, including any travel associated with the prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) entrant’s registration material on any related website, or (v) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Sweepstakes activity and/or prize; (b) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.
GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.
BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND THE FOREGOING PARAGRAPHS SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF SPONSOR OR PROMOTION PARTIES’ NEGLIGENT, FRAUDULENT OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT.
DISPUTE RESOLUTION: The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Sweepstakes. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Texas, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Texas. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Texas. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. This Sweepstakes is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.
- ENTRY INFORMATION AND SWEEPSTAKES COMMUNICATIONS: As a condition of participating in the Sweepstakes, each entrant gives consent for Sponsor to obtain and deliver his or her name, address, and other information to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations, and rules. Any information an entrant provides to Sponsor may be used to communicate with entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list. By participating in the Promotion, each entrant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at https://www.lays.com/privacy-policy. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern.
MISCELLANEOUS: Winner is solely responsible for taxes on the prize, if any. The ARV of the prize is based on available information provided to Sponsor. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
